The deal consideration includes $8.50 per share in cash (or an aggregate of approximately $561 million) plus one non-tradable contingent value right (CVR) collectively worth up to $3.50 per share in cash (or an aggregate of approximately $234 million).
The CVR is payable upon achieving certain net sales and commercial milestones. The transaction is expected to close in the third quarter of 2025.

The acquisition significantly strengthens Supernus Pharmaceuticals&#8217; psychiatry portfolio by adding Zurzuvae (zuranolone) capsules CIV, a landmark drug that stands as the first and only oral medicine approved by the FDA for treating postpartum depression in adults.
This strategic addition is set to diversify and substantially increase Supernus Pharmaceuticals&#8217; revenue base and cash flow. The financial impact is already evident from the collaboration revenue derived from Zurzuvae&#8217;s net sales, which, representing 50% of the net revenue recorded by Biogen Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/BIIB#NASDAQ">BIIB</a>), amounted to $36.1 million for the full year 2024 and $13.8 million in the first quarter of 2025 alone.

Beyond the immediate commercial benefits, the deal also augments Supernus Pharmaceuticals&#8217; central nervous system (CNS) discovery platforms and deepens its expertise in the field.
Furthermore, the strong integration potential with Supernus Pharmaceuticals&#8217; existing infrastructure is expected to yield substantial operational efficiencies, with projected annual cost synergies of up to $200 million.

In a significant development preceding the acquisition by Supernus Pharmaceuticals, Biogen Inc. had made an unsolicited, non-binding proposal to acquire all of the outstanding shares of Sage Therapeutics that it did not already own. The offer was made on January 10, 2025, for a price of $7.22 per share.
In October 2024, Sage Therapeutics announced a strategic reorganization of its business operations to support the ongoing launch of Zurzuvae (zuranolone)&nbsp;<a target="_blank" href="https://www.benzinga.com/pressreleases/24/10/b41376682/sage-therapeutics-announces-strategic-reorganization-to-prioritize-zurzuvae-commercialization-and-" rel="noreferrer noopener">in postpartum depression</a>.

SPY is currently trading near our pivotal level of 600.51. Bullish traders will aim to drive prices upward past 601.22, securing this mark as solid intraday support. If buyers maintain momentum at 601.22, we anticipate further upside toward the key resistance at 602.37. A sustained push beyond that level may trigger additional buying, targeting the next level at 603.38, with a potential daily high at 604.45.&nbsp;
On the downside, should SPY fail to maintain support at 600.51, bearish momentum could take hold, pressing prices initially toward 599.24. Sellers stepping in decisively at this juncture would open further decline to 598.04. If selling accelerates strongly, watch for a critical support test at 596.57. Intense bearish activity today could ultimately drive SPY down to our lower target at 595.14.
Invesco QQQ Trust Series 1 (QQQ)
QQQ is presently trading around the critical juncture of 530.70. Bulls will first look to establish dominance by stabilizing above this area, building momentum toward securing 532.52 as support. Continued bullish strength above this zone would set the stage for an attempt at 533.70, and vigorous buying activity might elevate prices to the next resistance at 534.60, with the day's bullish target set at 535.30.&nbsp;

If bullish momentum continues unabated, expect the price to extend toward 199.51. A notably strong rally could ultimately carry Apple to today's bullish target at 200.53.&nbsp;
However, should Apple falter and lose support at 197.69, expect bearish momentum to quickly target a downward move toward 197.00. Continued selling pressure would then push prices further to 196.61. Successfully holding that level could ignite a further rally toward 478.82, with sustained bullish action pushing Microsoft toward the high bullish target for the day at 480.04.&nbsp;
If Microsoft fails to maintain 476.18 as firm support, bears could swiftly retake control, driving prices down to probe the support at 474.99. Additional selling strength below this point might push the market further toward 473.80. Extended bearish sentiment could potentially accelerate the decline toward 472.91, with our daily bearish target identified at 472.11.
NVIDIA Corporation (NVDA)
NVIDIA is currently trading near our critical support and resistance pivot at 143.41. Bulls will look to elevate prices swiftly past 144.21, establishing this point as new support. Successful consolidation here could generate further bullish momentum, pushing toward 145.61. The company on Monday announced a deal to launch its <a href="https://www.benzinga.com/pressreleases/25/06/b45942679/archer-announces-third-launch-edition-partner-striking-deal-to-deploy-midnight-aircraft-in-indones">Midnight aircraft in Indonesia</a>.
What Happened: Archer and PT. Industri Ketahanan Nasional (IKN)&nbsp;signed an agreement to deploy a fleet of Midnight aircraft in Indonesia under the company&#8217;s launch edition program. 
The agreement includes the planned purchase of up to 50 Midnight aircraft, valued at up to $250 million. In addition to launching the vehicles for air taxi services, the companies plan to explore other use cases centered around commercial and military logistics and environmental surveillance. 
&#8220;The level of demand for our ‘Launch Edition&#8217; program continues to grow. Indonesia represents a tremendous opportunity for our Midnight aircraft both in the near and long-term, with thousands of islands, a booming tourism sector and the development of a new capital city, Ibu Kota Nusantara,&#8221; said Adam Goldstein, founder and CEO of Archer.
PT. IKN is an Indonesian company focused on advancing national initiatives through government partnerships. The agreement makes Indonesia the third country Archer is planning to launch its Midnight aircraft in after announcing prior deals in the UAE and Ethiopia. 
Canaccord Genuity analyst Austin Moeller maintained Archer with a <a href="https://www.benzinga.com/analyst-stock-ratings">Buy</a> rating and lowered the price target from&nbsp;$13.50&nbsp;to&nbsp;$13 on Monday, according to <a href="http://pro.benzinga.com">Benzinga Pro</a>.
