The U.S. Securities and Exchange Commission is investigating whether Coinbase Global Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/COIN#NASDAQ">COIN</a>), the largest U.S.-based cryptocurrency exchange, misrepresented its user numbers<a href="https://www.benzinga.com/trading-ideas/movers/25/05/45419064/coinbase-explodes-47-ahead-of-sp-500-debut-charts-flash-bullish-breakout"> in past disclosures. </a>
The Details: According to a Thursday<a href="https://www.nytimes.com/2025/05/15/technology/coinbase-sec-investigation.html"> report</a> from the New York Times, the SEC's probe centers on the crypto exchange's claim of having over 100 million "verified users," a figure prominently featured in its 2021 initial public offering documents and marketing materials.&nbsp;
According to Coinbase, the "verified users" number included anyone who confirmed an email address or phone number, which could result in the same individual being counted multiple times and potentially inflate the number of unique customers. The company stopped reporting its verified users metric in 2022.

Coinbase has been in touch with the SEC over the past year and has hired the law firm Davis Polk &amp; Wardwell in connection with the investigation, according to people familiar with the matter. The sources also said the SEC has questioned former Coinbase employees about the issue.&nbsp;
The company's chief legal officer, Paul Grewal described the investigation as "a holdover from the prior administration about a metric we stopped reporting two and a half years ago, which was fully disclosed to the public." 
"While we strongly believe this investigation should not continue, we remain committed to working with the SEC to bring this matter to a close," Grewal said in the statement, per the New York Times.
What Else: Coinbase on Thursday disclosed <a href="https://www.benzinga.com/markets/cryptocurrency/25/05/45441997/coinbase-hit-by-data-breach-refuses-to-pay-20m-ransom">a cyberattack</a> that included a $20 million ransom demand from the attackers who obtained internal documentation and personal user data, including names, contact details, masked bank and SSN data and government IDs.
Coinbase CEO Brian Armstrong addressed the incident publicly, <a href="https://x.com/brian_armstrong/status/1922967787309256807">saying</a>, &#8220;We are not going to pay your ransom… Instead, we&#8217;re putting out a $20 million award for any information leading to the arrest and conviction of these attackers.&#8221;
The stock is preparing to join the S&amp;P 500 index on Monday as the first pure-play crypto company included in the index.&nbsp;
COIN Price Action: Coinbase shares have gained more than 50% over the past month and were up 7.52% at $262.82 at the time of publication Friday.

Bitcoin (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/btc/usd">BTC</a>) rose 1.46% to reach $104,008.46, which took its weekly gains to 0.96%, <a href="https://www.benzinga.com/money/how-to-buy-bitcoin-btc-best-bonuses-august-2024">and monthly to 24.58%</a>. The rise follows JP Morgan Chase &amp; Co (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/JPM#NYSE">JPM</a>) analysts' prediction that Bitcoin could outperform gold this year, and growing support of corporate investment towards Bitcoin bull run.
According to Decrypt, the investment banking giant stated that maturing market infrastructure and increasing institutional adoption are the key factors driving Bitcoin&#8217;s strength over gold.

JP Morgan explained that crypto-specific catalysts like corporate treasury flows, shifting regulation, and better derivatives infrastructure are helping Bitcoin. Recent decisions by major crypto exchanges, including Coinbase Global Inc's (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/COIN#NASDAQ">COIN</a>) takeover of Deribit, Kraken&#8217;s takeover of NinjaTrader, and Gemini&#8217;s new EU derivatives license, are signs of a regulated and investor-friendly industry.

Méliuz, a publicly traded fintech company in Brazil, recently became the country&#8217;s first &#8220;Bitcoin Treasury Company&#8221; by paying $28.4 million for 274.52 BTC. The firm now holds over 320 BTC and has seen its stock price increase 116% since the initial purchase of Bitcoin earlier this year.&nbsp;
New York&#8217;s DayDayCook bought 100 BTC as part of its strategy to accumulate 5,000 BTC in three years. The rising confidence among global businesses places Bitcoin as a legitimate store of value and corporate reserve.
A new SEC filing reported that the Wisconsin State Investment Board sold its full $300 million stake in BlackRock&#8217;s Bitcoin ETF in Q1, just before the U.S. initiated broad tariffs against China and other trading partners. The news, which was described as &#8220;Liberation Day,&#8221; triggered short-term volatility, sending Bitcoin temporarily below $75,000 last month. But Bitcoin has since regained its price as trade tensions relaxed and tariff policies eased in May.
Institutional opinion toward Bitcoin is still strong in spite of uncertainties and selloffs. JP Morgan&#8217;s predictions validate the argument that Bitcoin is increasingly a risk-on asset with high growth potential.

Coinbase (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/COIN#NASDAQ">COIN</a>) on Thursday disclosed a material cybersecurity incident involving insider abuse and data theft, leading to a $20 million Bitcoin (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/btc/usd">BTC</a>) ransom demand from <a href="https://www.benzinga.com/markets/cryptocurrency/25/04/44696126/trump-administration-shuts-down-the-department-of-justices-crypto-crime-unit">a threat actor</a>.
The company has refused to pay, instead placing a $20 million bounty for information leading to the arrest and conviction of the perpetrators.
In a Form 8-K <a href="https://www.sec.gov/Archives/edgar/data/1679788/000167978825000094/coin-20250514.htm?7194ef805fa2d04b0f7e8c9521f97343">filed</a> with the U.S. Securities and Exchange Commission on May 15, Coinbase revealed that attackers had bribed overseas support contractors to exfiltrate internal documentation and personal user data, including names, contact details, masked bank and SSN data and government IDs.
The breach affected less than 1% of monthly transacting users, according to the company.
Coinbase CEO Brian Armstrong addressed the incident publicly, <a href="https://x.com/brian_armstrong/status/1922967787309256807">saying</a>, "We are not going to pay your ransom&#8230; Instead, we're putting out a $20 million award for any information leading to the arrest and conviction of these attackers."
Armstrong explained that the attackers sought out weak links by targeting third-party customer support agents overseas. 
While no passwords, private keys, or funds were accessed, he acknowledged the real threat of social engineering attempts using leaked personal data.

"Unfortunately, they were able to find a few bad apples&#8230; this is still unacceptable," Armstrong said.
Coinbase&#8217;s security systems had previously flagged and terminated some of the compromised contractors. 
Since receiving the ransom email on May 11, the company has launched a full investigation and is working with law enforcement.
Affected customers were notified, and Coinbase will reimburse any user who lost funds as a direct result of the breach, Armstrong confirmed. 
Additional measures include relocating parts of the customer support operation to the U.S. and tightening internal access controls.
The company has not experienced any material operational disruption, but said it expects to incur between $180 million and $400 million in expenses related to remediation and reimbursements.
