us Cellular is a regional wireless carrier that serves about 4.5 million customers spread across four major geographic clusters: the Midwest, mid-Atlantic, New England, and the Pacific Northwest. Crude Oil Down Over 1%; American Express Shares Fall After Q3 Results

U.S. stocks were mixed , with the Nasdaq Composite gaining around 100 points on Friday.
Shares of Autoliv, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ALV#NYSE">ALV</a>) rose sharply during Friday's session after the company reported better-than-expected <a href="https://www.benzinga.com/news/earnings/24/10/41403377/autoliv-surges-despite-mixed-q3-results-chinese-market-mix-drags-performance">third-quarter sales results</a>.
The company reported third-quarter adjusted earnings per share of $1.84, missing the analyst consensus of $1.95. Quarterly revenues of $2.56 billion topped the street view of $2.53 billion.
Autoliv shares jumped 5.5% to $99.13 on Friday.

Autoliv Posts Strong Sales, Joins United States Cellular, Netflix, Intuitive Surgical And Other Big Stocks Moving Higher On Friday

United States Cellular Corporation&nbsp;(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/USM#NYSE">USM</a>) shares are trading higher on Friday after the company agreed to sell part of its retained spectrum licenses to Verizon Communications Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/VZ#NYSE">VZ</a>) <a target="_blank" href="https://www.benzinga.com/pressreleases/24/10/n41399651/uscellular-announces-sale-of-select-spectrum-assets-for-1-0-billion" rel="noreferrer noopener">for $1.0 billion.</a>
In particular, the company agreed to sell 663 million MHz POPs of its Cellular (850 MHz) spectrum, along with 11 million MHz POPs of AWS and 19 million MHz POPs of PCS licenses, to Verizon.
The purchase price will be paid in cash, with possible adjustments as outlined in the agreement.
Telephone and Data Systems, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TDS#NYSE">TDS</a>), as the 82% majority shareholder of US Cellular, has provided written consent approving the Verizon transaction.
Apart from this, the company has entered agreements with two other mobile network operators to sell other selected spectrum licenses.
United States Cellular plans to sell 12 million MHz POPs of its spectrum licenses in the CBRS, C-Band, and 700 MHz B/C Block bands to two other mobile network operators.
These deals are subject to regulatory approval and customary closing conditions, though the buyers and terms remain undisclosed.
After these transactions, US Cellular will retain 3.4 billion MHz POPs of low and mid-band spectrum (700 MHz, 3.45GHz, CBRS, and C-Band) and 17.2 billion MHz POPs of mmWave spectrum.
These transactions align with the company&#8217;s plan to monetize <a target="_blank" href="https://www.benzinga.com/m-a/24/05/39036795/t-mobiles-4-4b-us-cellular-and-tds-deal-promises-enhanced-rural-5g-coverage" rel="noreferrer noopener">spectrum not included in the proposed sale</a> to T-Mobile US, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/TMUS#NASDAQ">TMUS</a>).
Each of these transactions is contingent upon the successful closing of proposed sale to T-Mobile.
Notably, in May 2024, T-Mobile US agreed to acquire substantially all of&nbsp;the United States Cellular&nbsp;and&nbsp;TDS wireless operations, including wireless customers and stores, as well as certain specified spectrum assets for $4.4 billion in the transaction in a combination of cash and up to $2.0 billion of debt.
Verizon ended the first half of 2024 with a <a target="_blank" href="https://www.benzinga.com//node/39883078" rel="noreferrer noopener">free cash flow&nbsp;of&nbsp;$8.5 billion</a>.

US Cellular Sells Key Spectrum Licenses To Verizon In $1B Deal

United States Cellular shares are trading higher after the company announced the sale of a portion of its retained spectrum licenses to Verizon for $1 billion.

Additionally,&nbsp;UScellular has entered into agreements with two other mobile network operators for the sale of other selected spectrum licenses. The transactions are part of the objective&nbsp;UScellular announced on&nbsp;May 28, 2024, to opportunistically monetize the spectrum that was not included in the proposed sale to T-Mobile.
UScellular reached an agreement with Verizon to sell 663 million MHz POPs of its Cellular (850 MHz) spectrum licenses as well as 11 million MHz POPs of its AWS and 19 million MHz POPs of its PCS licenses for a total of&nbsp;$1.0 billion.
The purchase price is payable in cash and subject to certain potential adjustments specified in the purchase agreement. The transaction with Verizon is subject to the receipt of regulatory approvals and satisfaction of customary closing conditions.

HP Posts Upbeat Earnings, Joins Foot Locker, American Superconductor, Red Robin Gourmet Burgers And Other Big Stocks Moving Higher On Thursday

Benchmark analyst Matthew Harrigan reiterated a Buy rating on T-Mobile US, Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/TMUS#NASDAQ">TMUS</a>) with a <a target="_blank" href="https://www.benzinga.com/quote/tmus/analyst-ratings" rel="noreferrer noopener">price target of $200</a>.
On Tuesday, T-Mobile formally announced its anticipated United States Cellular Corp (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/USM#NYSE">USM</a>) transaction. It agreed to pay <a target="_blank" href="https://www.benzinga.com/m-a/24/05/39036795/t-mobiles-4-4b-us-cellular-and-tds-deal-promises-enhanced-rural-5g-coverage" rel="noreferrer noopener">~$4.4 billion for</a> 4.5 million retail mobile customers across 21 states and 30% of the much smaller carrier&#8217;s wireless spectrum.&nbsp;&nbsp;
USCellular would retain the entirety of its 2,100 towers (with T-Mobile leasing space for fifteen years) and interests in its Verizon Communications Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/VZ#NYSE">VZ</a>) joint ventures. T-Mobile would also extend its current leases on 600 towers.&nbsp;&nbsp;
Harrigan said the proposed deal is consistent with T-Mobile&#8217;s M&amp;A strategy, which is disciplined and modest in scale after the transformative Sprint transaction. It follows the recently closed $1.3 billion acquisition of value-entrant Mint Mobile.&nbsp;&nbsp;
The analyst stated that apart from T-Mobile exceeding soft spectrum caps in specific markets, predictable consumer unhappiness over primary MNO pricing will likely elicit election-year antitrust scrutiny from the Biden Administration.&nbsp;&nbsp;
As per Harrigan, an FCC or DOJ challenge to the proposed USCellular transaction does not even demand the aggressive horizontal M&amp;A strategies advanced by the DOJ&#8217;s Jonathan Kanter or even more extreme ambitions from FTC Chair Lina M. Khan.
According to the analyst, the proposed deal represents only about 2% of T-Mobile&#8217;s equity capitalization and deal approval risks and is immaterial to T-Mobile investment thesis.
The analyst expects T-Mobile to continue to benefit from the actuality and perception of its 5G leadership and share gains in smaller markets and enterprises.
Harrigan projected second-quarter revenue and EPS of $20.27 billion and $2.23.
Price Action: TMUS shares traded higher by 0.99% at $168.97 at the last check on Wednesday.
